Terms of Service

1. Acceptance of terms

By creating an account, subscribing to a plan, or otherwise using any product operated by NIDA Systems ("NIDA Systems", "we", "us"), including Aseda Clock In, you agree to be bound by these Terms of Service. If you do not agree, do not use our products.

2. Description of service

NIDA Systems provides software products for business operations, including Aseda Clock In, an attendance system covering clock-ins, employee records, rosters, image proof, leave tracking, and payroll-ready reports.

3. Accounts and eligibility

You must provide accurate business and account information when signing up. You're responsible for keeping your login credentials secure and for all activity that happens under your account.

4. Subscription plans and billing

Aseda Clock In is offered on a subscription basis:

• The Professional plan is billed monthly at GHS 300 per month, with no minimum-term commitment, and covers up to 100 employees and 2 clock-in devices.
• Custom plans for organizations above 100 employees, including multi-site setups, are agreed separately in writing and may have different billing terms.
• Billing is monthly. Charges are due at the start of each billing period, and continued access to the service depends on payment being received for that period.

5. Payment processing

We support receipt-based mobile money payments. Paystack checkout will be offered once available. Payment instructions are confirmed for your account before payment. We do not store full payment card details on our own systems; payment processing is handled by our payment processor under their own terms and security standards.

6. Cancellation and refunds

You may cancel your subscription at any time by emailing info@nidasys.com or contacting us on WhatsApp at +233 24 811 1773. Cancellation stops future monthly renewals, and your access continues until the end of the paid billing period. The Professional plan has no minimum-term commitment or early cancellation fee. Fees already charged for a billing period are not refunded for partial or unused time within that period. If we are unable to provide the service as described, contact us and we will work with you on an appropriate resolution.

7. Acceptable use

You agree not to misuse our products, including attempting to access data that doesn't belong to your business, interfering with the normal operation of the service, or using the service for any unlawful purpose. You're responsible for how your organization uses employee attendance and image data, including compliance with applicable employment and data protection laws.

8. Data and employee records

Using Aseda Clock In means your business will store employee-related data with us, including attendance records and image proof. How we collect, use, and protect this data is described in our Privacy Policy, which forms part of these Terms.

9. Intellectual property

NIDA Systems retains all rights, title, and interest in its software, branding, and related materials. These Terms do not grant you ownership of our products, only a right to use them under a valid subscription.

10. Service availability and support

We work to keep our products available and reliable, but we don't guarantee uninterrupted access. Support is available by email and WhatsApp during normal business hours.

11. Limitation of liability

To the extent permitted by law, NIDA Systems is not liable for indirect, incidental, or consequential damages arising from use of our products. Our total liability for any claim relating to the service is limited to the fees you paid us in the 3 months before the claim arose.

12. Termination

We may suspend or terminate access to the service if these Terms are breached, including non-payment of fees. You may terminate your account by contacting us, in accordance with the cancellation terms above.

13. Changes to these terms

We may update these Terms from time to time. Continued use of our products after an update means you accept the revised Terms. We'll note the "last updated" date above whenever changes are made.

14. Governing law

These Terms are governed by the laws of Ghana.
